Terms of Service

Please read these Terms carefully before using HandyQuote. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use HandyQuote.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the company you represent, "Customer") and HandyQuote ("HandyQuote," "we," "us," or "our") governing your access to and use of the HandyQuote software platform and related services ("Service"). By clicking "I agree," signing up, or using the Service, you accept these Terms.

2. Description of Service

HandyQuote is a cloud-based quoting and estimating platform designed for trade contractors. The Service allows users to create, manage, and send professional quotes, manage a price book, and optionally sync with accounting software such as QuickBooks Online.

3. Accounts and Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@handyquote.co if you suspect unauthorized access.

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your business.

4. Subscription Plans and Payment

HandyQuote offers subscription plans billed monthly or annually. Prices are displayed on our pricing page and at checkout.

Free Trial: New accounts receive a 7-day free trial. No payment is required to start a trial. At the end of the trial, the Service will be paused until a paid plan is selected.
Billing: Subscriptions are billed in advance. By providing a payment method, you authorize HandyQuote (through Stripe) to charge you on a recurring basis until you cancel.
Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as described in our 7-Day Money-Back Guarantee below.
7-Day Money-Back Guarantee: If HandyQuote does not save you time in your first week of a paid subscription, contact us at hello@handyquote.co within 7 days of your first charge and we will refund your first month's payment in full, no questions asked. This guarantee applies once per customer.
Price changes: We will give you at least 30 days' notice before changing subscription prices.

5. License Grant

Subject to these Terms, HandyQuote grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term. You may not sublicense, resell, or otherwise transfer your rights.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Reverse engineer, decompile, or attempt to extract the source code of the Service
Attempt to gain unauthorized access to any part of the Service or its infrastructure
Upload or transmit malware, spam, or any harmful content
Use the Service to infringe upon the intellectual property rights of any third party
Impersonate any person or entity

7. Your Data

You retain full ownership of all data, content, and information you submit to the Service ("Customer Data"). You grant HandyQuote a limited license to process and store Customer Data solely to provide the Service to you.

HandyQuote will not sell, share, or use your Customer Data for any purpose other than operating the Service. See our Privacy Policy for full details.

8. QuickBooks Integration

HandyQuote integrates with QuickBooks Online via the Intuit Developer Platform. By connecting your QuickBooks account, you also agree to Intuit's API terms. HandyQuote is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks is a trademark of Intuit Inc.

9. Intellectual Property

HandyQuote and its licensors own all intellectual property rights in the Service, including the software, design, trademarks, and documentation. Nothing in these Terms transfers any intellectual property rights to you beyond the limited license in Section 5.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HANDYQUOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO HANDYQUOTE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless HandyQuote, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. HandyQuote may suspend or terminate your account immediately for breach of these Terms, non-payment, or conduct that threatens the security or integrity of the Service. Upon termination, your right to use the Service ceases immediately.

After termination, we will make your Customer Data available for export for 30 days before permanently deleting it.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you at least 14 days before material changes take effect by email and via an in-app notice. Continued use of the Service after the effective date of updated Terms constitutes your acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. Any disputes arising out of these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Travis County, Texas.

16. General

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HandyQuote regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
No waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger or acquisition.
